Resonac Sells Adhesive Business In Japan, Taiwan And China To Sika

Plastmatch 2026-10-23 14:15:06

Resonac has signed a definitive agreement with Switzerland-based Sika Group to transfer selected adhesive businesses in Japan, Taiwan, and China, marking a strategic shift in its specialty chemicals portfolio. Under the terms of the agreement, the transaction is expected to be completed by 2027, with the target businesses integrated into Sika’s global adhesives and sealants platform.

The agreement covers Resonac’s adhesives business, excluding its tape business, as well as the hot-melt adhesive business at Resonac’s Goi plant in Noda, Japan. In Taiwan, the transaction includes all operations at Resonac Li-Bond Materials’ (RLBT) Dapu Mei plant, as well as the polyurethane and epoxy adhesive product lines at its Minxiong plant. In China, Sika will acquire all operations of Resonac Li-Bond Materials (Wuxi), i.e., RLBWX.

The transaction covers solvent-based adhesives, solvent-free adhesives, hot-melt adhesives, and other related products. However, certain operations will remain excluded from the transaction. These include the Japanese tape and low-melt glass businesses, as well as selected hot-melt and solvent-based adhesive product businesses in Taiwan.

Over the past few years, the target company has developed specialized formulations and reaction control technologies, providing high-value-added adhesive products to multiple industries. Its applications include automotive interiors and rear doors, and its products have established a strong reputation among customers in both the Japanese and international markets.

Resonac stated that the decision aligns with its long-term strategy to transform its business portfolio and strengthen its position as a leading functional chemicals company. After evaluating various options for the target businesses, the company concluded that transferring them to a global expert in adhesives and sealants would offer better opportunities for growth, innovation, and competitiveness.

Sika brings to the transaction an extensive international sales network, manufacturing footprint, and R&D capabilities. Operating within Sika’s global platform is expected to help the acquired business expand its market reach, strengthen customer relationships, and leverage additional management resources.

The transaction will follow different structures across the three markets. In Japan, Resonac will establish a wholly-owned subsidiary through a corporate spin-off and then transfer its shares to Sika. In Taiwan, the business will be transferred directly, while the transaction in China will involve the transfer of Resonac’s equity interest in RLBWX Yun.

Founded in 1910, Sika operates in 103 countries and had 33,856 employees as of June 30, 2026. Resonac expects the transaction to have no material impact on its consolidated financial results, while completion remains subject to the conditions stipulated in the agreement.

Product impact and chemical commodity price impact

This transaction can strengthen the target adhesive business through Sika’s global distribution, manufacturing, and R&D capabilities, potentially improving product development, customer access, and supply chain efficiency in automotive and industrial applications. However, operational integration and changes in ownership may bring short-term uncertainty to customers. For chemical commodities tracked by ChemAnalyst, the direct price impact is expected to be limited, as the announcement does not specify changes in capacity, production halts, or adjustments in raw material procurement. Solvents, polyurethane-related raw materials, epoxy resins, and hot-melt adhesive polymers may see indirect demand impacts over time, but any price movements will depend on production volumes, raw material costs, regional demand, and supply conditions.
