Silgan Holdings Inc. is restructuring its entire packaging portfolio, a transformational transaction announced today that will spin off an independent, specialty and plastics-focused packaging platform, while merging its metal containers and closures business with Trivium Packaging B.V. in a deal valued at approximately $3.4 billion.

For stakeholders in the plastics industry, the most significant aspect of the announcement is likely the creation of Silgan Dispensing Solutions, a new standalone division formed by merging Silgan’s existing dispensing and custom container businesses.

The company stated that the new platform will “operate as a premium, specialized packaging platform, serving attractive end markets with differentiated products,” positioning it to accelerate investment in high-value applications, expand into new end markets, and pursue targeted acquisitions—signaling Silgan’s intent to pursue growth in plastics and specialty dispensing independently of its metal packaging business.

Portfolio Acceleration

Silgan President and Chief Executive Officer Adam Greenlee stated that the strategic portfolio acceleration reflects the company’s commitment to creating value through thoughtful portfolio construction and strategic capital deployment, underpinned by the strength of its businesses and team.

Greenlee stated, “I would like to personally thank Tony Allott and the entire Silgan team for their extensive efforts in this transaction. We hold Trivium and its employees in high regard and believe that this combination creates a more differentiated global partner for food and beverage packaging customers. The transaction is expected to generate significant value for shareholders, providing Silgan with approximately $2.3 billion in cash proceeds while strengthening our global metal packaging business. At the same time, it establishes two focused packaging platforms, each with distinct strategies and opportunities.”

The remainder of the transaction centers on metal packaging. Silgan, Trivium, and a fund affiliated with American Industrial Partners (AIP) announced a proposed deal that will merge Silgan’s metal container division and its food and beverage plain-end closure business with Trivium to create Silgan Metal Containers and Closures, or Silgan MCC. The companies described this merger as the next step in their transformation, accelerating the evolution of Silgan’s portfolio and creating a premier global supplier of metal packaging for essential consumer goods, with complementary operations primarily in North America and Europe.

The all-cash acquisition values Trivium at approximately $3.4 billion. According to Silgan’s presentation on Monday, October 19, 2026, the transaction also attributes an enterprise value of $3.8 billion to Silgan’s contributed metal container division and food and beverage flat-end closure business.

Under the transaction structure, Silgan will receive approximately $2.3 billion in cash proceeds for the formation and capitalization of Silgan MCC, which will be used to repay certain existing debt. Silgan will retain a 60% controlling equity interest in Silgan MCC, while AIP will hold the remaining 40% and contribute approximately $1 billion in cash equity to support the acquisition and future growth of the business. The remainder of Silgan MCC’s capitalization will come from fully committed debt financing. The new partnership will establish an independent balance sheet that will be fully consolidated into Silgan’s financial statements.

Since 2019, Trivium has been operating as a trusted metal packaging supplier, serving more than 800 customers worldwide.

Since 2019, Trivium has been a trusted supplier of recyclable metal packaging products, serving more than 800 customers worldwide. Michael Mapes, CEO of Trivium, stated, “This transaction with Silgan and AIP marks the next step in our evolution as we continue to jointly deliver valuable packaging solutions for our customers and millions of consumers around the globe.” “With the support of Silgan and AIP, we will operate at greater scale and impact to advance our vision of providing high-quality, innovative, and recyclable packaging products to consumers.”

AIP, a private equity firm focused on industrial operations, views this partnership as an opportunity to build upon the strong track records of both companies. Dino Cusumano, Managing Partner at AIP, stated, “Silgan and Trivium are outstanding companies with proven performance histories. We are delighted to collaborate with them to execute this value-creating transaction and capture attractive opportunities for the combined business. We look forward to working with the Silgan and Trivium teams to enhance the integrated value proposition for customers.”

Silgan outlined several strategic and financial benefits of the transaction, including accelerating the evolution of its portfolio through two differentiated platforms—Silgan Dispensing Solutions and Silgan MCC—each with distinct customer bases, growth opportunities, and capital allocation priorities. The company stated that the combined entity creates a customer-centric, top-tier global metal packaging business by leveraging complementary footprints to expand geographic coverage, broaden product offerings, and enhance supply security. Silgan also noted that the increased scale will create opportunities to advocate for the sustainability attributes of metal packaging, drive innovation, and reduce supply chain costs.

Allocation Solution

The transaction is also expected to unlock substantial synergies by leveraging Silgan’s proven playbook. Driven by initiatives in procurement, operations, and SG&A, the company anticipates achieving $225 million in synergies by the end of the third year, with annual synergies of approximately $75 million in the first year and around $150 million in the second year. Silgan stated that the deal is projected to drive at least a 15% increase in adjusted earnings per share, including the full run-rate of expected synergies. The company also highlighted enhanced flexibility in capital allocation, noting that the transaction provides $2.3 billion in cash proceeds while reducing leverage in the Dispensing & Specialty Solutions segment and freeing up capital for additional investments. Furthermore, Silgan indicated that the structure enhances strategic flexibility by establishing a path toward tax-free distributions, thereby creating two uniquely positioned entities to pursue their respective strategic priorities.

Silgan’s Board of Directors has unanimously approved the proposed acquisition of Trivium, which is expected to close in mid-2027, subject to required regulatory approvals, completion of applicable works council consultation processes, and other customary closing conditions. Silgan MCC has secured full debt financing from a banking syndicate, as well as full cash equity commitments from funds affiliated with AIP.

Following the completion of the transaction, the Silgan MCC board of directors will comprise three directors nominated by Silgan—Anthony J. Allott, Adam J. Greenlee, and Shawn C. Fabry—as well as two directors nominated by AIP. Silgan’s headquarters will remain in Norwalk, Connecticut. In addition to the announcement, the company confirmed its outlook for adjusted diluted net income per share for the third quarter and full year of 2026.
