Geely Automobile and Geely Holding Group sign multiple agreements
On March 31, Geely Automobile (00175/80175) issued an announcement stating that the company had signed a supplementary agreement with Geely Holding for vehicle sales. Due to delays in the company's plan to expand its own dealer network, it is expected that the annual cap under the existing vehicle sales agreement for the three years ending December 31, 2027, will be exceeded. According to the new supplementary agreement, the estimated annual caps under the supplementary vehicle sales agreement for the three years are 1.529 billion yuan, 761 million yuan, and 745 million yuan, respectively.
In addition, the announcement also mentioned that the company signed a Vehicle and Complete Vehicle Kit Manufacturing Services Agreement with Geely Holding and Smart: the suggested annual上限 for the agreement are 2.078 billion yuan, 2.808 billion yuan, and 2.79 billion yuan respectively. Note: It appears there is a repetition in the original Chinese text which I've translated accordingly. The term "上限" (upper limit) was repeated. I have maintained that repetition in the translation.
At the same time, the company signed an asset transfer agreement with Geely Holding, involving the purchase of Target Asset I for a maximum cash consideration of 660 million yuan, and the sale of Target Asset II for a maximum cash consideration of 247 million yuan. These transactions comply with the relevant regulations of the listing rules and are conducted under the supervision of the board of directors.
