三大化工巨头整合聚烯烃业务获批
近日，日本三井化学、出光兴产、住友化学三家化工巨头联合发布公告，宣布三方聚烯烃业务整合计划，已正式获得日本公平交易委员会反垄断审批通过。
早在2025年9月10日，三家企业便达成基础合作共识，敲定业务整合框架。根据规划，住友化学位于日本国内的聚丙烯(PP)、线型低密度聚乙烯(LLDPE)相关业务，将整体并入由三井化学与出光兴产合资设立的普瑞姆聚合物公司。普莱姆聚合物公司的股权结构将调整为三井化学持股52%，出光兴产持股28%，住友化学持股20%。整合后的普莱姆聚合物公司在日本的聚烯烃年产能将大幅提升，其中聚丙烯年产能将从126万吨增至159万吨，聚乙烯年产能将从55万吨增至72万吨。
本次整合聚焦日本本土聚烯烃赛道，核心目的是强化基础化工产业链抗风险能力，完善本土工业原料配套体系，整体拉升日本聚烯烃产品在全球市场的竞争实力。
2025年12月24日，三方进一步签署正式业务整合与合资协议，明确合作模式、资产划转、运营衔接等落地细则。为严格契合日本反垄断监管要求，普瑞姆聚合物联合住友化学依规提交整合方案，完成本土合规审核流程。
目前，该聚烯烃业务整合项目的海外反垄断审查仍在有序推进。三家企业表态，将静待全球各相关国家竞争监管机构全部批复后，启动业务整合实质性落地工作，以此推动日本化工行业产业结构优化升级。
